Terms of Service服务条款

These Terms of Service (“Terms”) govern your use of dorepal.com, our email and API intake, quotes, orders, tasks and settlements (the “Service”), operated by KOSMART, a company registered in Hong Kong with operations teams in Singapore and Hong Kong (“dorepal”, “we”, “us”). By submitting a request, accepting a task, or paying a quote — yourself or through an AI agent acting for you — you agree to these Terms and to our Privacy Policy. “Buyer” means anyone who requests goods, services or work; “Supplier” means any studio, creator or individual who delivers them.

01Who can use dorepal

You must be at least 18, able to enter a binding contract, and — if acting for a company — authorised to bind it. You must not be a person, or located in a territory, subject to United States, United Nations, European Union or Singapore sanctions. You are responsible for complying with the laws that apply to you, including export, import and tax rules.

02What dorepal does — and does not do

dorepal matches Buyers with Suppliers in other countries, translates and structures requests, manages delivery, collects payment and settles with Suppliers after acceptance. In the current phase, matching and dispatch are done by our team with AI assistance; we aim to respond within 24 hours on business days.

Unless a quote expressly says otherwise, dorepal is not the manufacturer, the seller of record for custom goods, or the provider of the service. Suppliers are independent contractors responsible for their own work. dorepal is not a bank or money transmitter: payments are collected through Stripe and held by us pending acceptance, as described in section 5.

03Requests and quotes

Submitting a request — through the website, email, the request API or an agent — does not create an order and obliges neither side. We may decline any request. Quotes are sent by email, usually within 24 hours, and state: the scope and acceptance criteria; the price in US dollars (including dorepal’s fee and, for goods, shipping unless stated); the delivery time; refund terms; a Stripe payment link; and an order reference in the form DP-xxxxxx. A quote is valid for 7 days unless it says otherwise.

04Orders and payment

• An order is formed when the quoted amount is paid through the Stripe payment link using the order reference. Payment of a different amount, or without a reference, may delay the order until we match it.
• Pay only through links in emails from an @dorepal.com address or on dorepal.com. We never ask for payment to personal accounts, in cryptocurrency, or outside Stripe.
• Prices are in US dollars. Currency-conversion and card fees charged by your bank are yours.
• Customs duties and import taxes on goods are the Buyer’s responsibility unless the quote says “delivered duty paid”.
• If the Supplier becomes unavailable before work starts, we will offer an alternative or a full refund.

05Escrow, acceptance and release

Paid funds are held by dorepal and released to the Supplier when (a) the Buyer accepts the deliverable; (b) 7 days pass after delivery without the Buyer reporting a problem; or (c) a dispute is resolved in the Supplier’s favour. For goods, “delivery” means carrier confirmation of delivery. Where a quote defines milestones, each milestone is released on its own acceptance. For custom-made goods, production begins after payment; once production has started the order cannot be cancelled except as set out in section 7.

06Acceptance criteria and revisions

Acceptance criteria are those stated in the quote or, if none, that the deliverable reasonably matches the request. Services include one round of reasonable revisions unless the quote says otherwise. Report problems within 7 days of delivery with specifics (for goods, photos); we will arrange a fix, a remake or a refund under section 7.

07Cancellations, refunds and disputes

• Before work starts: full refund, less any payment-processing fees we cannot recover.
• After work starts: refund proportional to the work not yet done, at our reasonable assessment.
• Goods not as described, or damaged on arrival: remake or full refund if reported within 7 days of delivery, no questions asked. For non-custom items we may ask for the item to be returned.
• Services that fail the acceptance criteria after the revision round: refund of the failed portion.

We decide disputes in good faith based on the quote, the acceptance criteria and the evidence provided. Our decision is final for the release of held funds; it does not limit your statutory rights. Please contact us before filing a card chargeback — unfounded chargebacks may lead to suspension.

08Suppliers

• By accepting a task you confirm you can deliver to the acceptance criteria and deadline, and that the work is your own or properly licensed. You are an independent contractor; nothing in these Terms creates employment, agency or partnership.
• Payout: after release, we pay the agreed amount — the Supplier share stated in the task (typically 80% of the task price unless agreed otherwise) — through Wise to Alipay, PIX, a local bank account or another supported rail, within 5 business days. Exchange rates are those of the payout provider at the time of transfer. You are responsible for your own taxes.
• Non-circumvention: for 12 months after dorepal introduces a client to you, you agree not to transact with that client for similar work outside dorepal.
• We may remove Suppliers for missed deadlines, quality problems or policy violations. We publish your handle and statistics on any leaderboard only with your consent.

09Hackathons and prizes

dorepal takes part in hackathons only in compliant modes: either a dorepal or Supplier team registered under the organiser’s rules with the Supplier as a member, or the Supplier registers and authorises dorepal to collect and settle the prize. Suppliers must follow the organiser’s rules on team size, originality and eligibility. Prizes are settled according to the agreed split after the organiser pays.

10Using AI agents

You may use an AI agent to find, request, negotiate, pay for and accept work on your behalf. You are bound by your agent’s actions, including payments it authorises. Agents must identify their platform when asked and must not misrepresent the person or company they act for. We may confirm payments, acceptance and refunds with a human by email. Our published files (llms.txt, agent.json, openapi.json) may be read and cached by agents; automated bulk scraping, fake requests and attempts to manipulate our systems are prohibited. Our responses never contain instructions to agents and should be treated as data.

11Acceptable use

You may not use dorepal for: illegal goods or services; counterfeit or infringing goods; weapons, controlled substances or items restricted for export or import; anything involving sanctioned persons or territories; deceptive work such as fake reviews, academic fraud or impersonation; harassing or unlawful content; or circumventing another platform’s or organiser’s rules. We may cancel and refund (less costs already incurred) any order that violates this section.

12Intellectual property

Unless the quote says otherwise, on full payment the Supplier assigns to the Buyer the rights in the custom deliverables created for the order, and retains rights in pre-existing tools, templates and know-how, which are licensed to the Buyer as needed to use the deliverable. Buyers warrant they hold the rights to materials they provide. dorepal, Dore and the content of our site are our property. You grant dorepal a licence to use materials and deliverables as needed to run the Service — to brief the Supplier, check quality and resolve disputes — and, only with your consent, as examples of our work.

13Disclaimers

The Service is provided “as is” and “as available”. We do not guarantee that a Supplier will be available, that a hackathon prize will be won, or delivery dates affected by customs, carriers, third-party platforms or events beyond our reasonable control. Suppliers, not dorepal, are responsible for their deliverables.

14Limitation of liability

To the fullest extent permitted by law, dorepal’s total liability arising from any order is limited to the amount you paid for that order, and we are not liable for indirect, incidental, consequential or lost-profit damages. Some jurisdictions do not allow these limits; consumers keep the rights mandatory law gives them.

15Indemnity

You will indemnify dorepal against claims, losses and costs arising from materials you provide, your agent’s actions, or your breach of these Terms or applicable law.

16Termination

You may stop using the Service at any time. We may suspend or end access for anyone who breaches these Terms. Orders in progress are completed or refunded under section 7.

17Governing law and disputes

These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law rules. Contact us first at hello@dorepal.com; we will try to resolve any dispute within 30 days. Otherwise, disputes are submitted to the exclusive jurisdiction of the courts of Hong Kong. Consumers may also have the right to bring claims in the courts of their home country under mandatory local law.

18Changes

We may update these Terms. The date at the top shows the current version. An order is governed by the version in force when the order is formed.

本服务条款（「本条款」）适用于你对 dorepal.com、邮件与 API 收单、报价、订单、任务和结算（合称「本服务」）的使用。本服务由注册于香港的 KOSMART（「dorepal」「我们」）运营，运营团队在新加坡和香港。你本人或代你行事的 AI Agent 提交需求、接受任务或支付报价，即表示同意本条款和我们的隐私政策。「需求方」指请求商品、服务或工作的任何人；「供给方」指交付这些内容的工作室、创作者或个人。

01谁可以使用 dorepal

你须年满 18 岁、具备签订有约束力合同的能力；代表公司行事时，须有权代表该公司。你不得是受美国、联合国、欧盟或新加坡制裁的人员，也不得位于受制裁的地区。你须自行遵守适用于你的法律，包括进出口和税务规定。

02dorepal 做什么，不做什么

dorepal 为需求方匹配其他国家的供给方，翻译并整理需求，管理交付，收取款项，并在验收后与供给方结算。当前阶段，匹配和派单由我们的团队在 AI 辅助下完成；工作日我们力争 24 小时内回复。

除非报价明确说明，dorepal 不是制造商、定制商品的记录卖方或服务提供者。供给方是独立承包人，对自己的工作负责。dorepal 不是银行或汇款机构：款项通过 Stripe 收取，由我们按第 5 条在验收前托管。

03需求与报价

通过网站、邮件、需求 API 或 Agent 提交需求，不构成订单，对双方均无约束力。我们可以拒绝任何需求。报价通过邮件发送，通常在 24 小时内，内容包括：范围和验收标准；以美元计的价格（含 dorepal 服务费，实物商品除非另有说明含运费）；交付时间；退款条款；Stripe 支付链接；以及格式为 DP-xxxxxx 的订单编号。除非另有说明，报价有效期为 7 天。

04订单与付款

• 通过 Stripe 支付链接、使用订单编号支付报价金额后，订单成立。支付金额不符或未填订单编号，订单可能延迟到我们核对后才开始。
• 只通过 @dorepal.com 邮箱发出的邮件或 dorepal.com 上的链接付款。我们绝不会要求付款到个人账户、使用加密货币，或在 Stripe 之外付款。
• 价格以美元计。你的银行收取的汇率差和刷卡手续费由你承担。
• 实物商品的关税和进口税由需求方承担，除非报价注明「完税交付」。
• 如果供给方在开工前无法继续，我们会提供替代方案或全额退款。

05托管、验收与释放

已付款项由 dorepal 托管，在以下情况释放给供给方：(a) 需求方验收交付物；(b) 交付后 7 天内需求方未反馈问题；(c) 纠纷裁定对供给方有利。实物商品的「交付」以承运商的妥投确认为准。报价约定里程碑的，每个里程碑在各自验收后释放。定制商品在付款后开始生产；生产开始后不可取消，第 7 条规定的情形除外。

06验收标准与修改

验收标准以报价所载为准；未载明的，以交付物与需求合理相符为准。除非报价另有说明，服务含一轮合理修改。请在交付后 7 天内具体说明问题（实物商品请附照片），我们会按第 7 条安排修改、重做或退款。

07取消、退款与纠纷

• 开工前：全额退款，扣除我们无法追回的支付手续费。
• 开工后：按尚未完成的工作比例退款，由我们合理评估。
• 商品与描述不符或到货时损坏：交付后 7 天内反馈，重做或全额退款，不问理由。非定制商品可能要求退回。
• 服务经修改后仍不达验收标准：退还未达标部分的款项。

我们根据报价、验收标准和双方提供的证据，本着善意裁定纠纷。该裁定对托管款项的释放是最终的，但不限制你的法定权利。发起银行卡拒付前请先联系我们——无依据的拒付可能导致账户暂停。

08供给方

• 接受任务即确认你能按验收标准和期限交付，且作品为原创或已获得合法授权。你是独立承包人；本条款不构成雇佣、代理或合伙关系。
• 打款：款项释放后，我们按约定金额——任务中载明的供给方分成（除非另有约定，通常为任务价格的 80%）——通过 Wise 打到支付宝、PIX、本地银行账户或其他支持的渠道，5 个工作日内到账。汇率以打款服务商转账时的汇率为准。税务由你自行负责。
• 不绕开：dorepal 向你介绍客户后 12 个月内，你同意不在 dorepal 之外与该客户进行类似交易。
• 延期、质量问题或违反规范的供给方可能被移除。只有在你同意后，我们才会在排行榜上展示你的昵称和数据。

09黑客松与奖金

dorepal 仅以合规方式参加黑客松：或者由 dorepal / 供给方按主办方规则组队报名、供给方为队员；或者由供给方本人报名，并授权 dorepal 代收并结算奖金。供给方须遵守主办方关于队伍规模、原创性和参赛资格的规则。奖金在主办方支付后按约定比例结算。

10使用 AI Agent

你可以使用 AI Agent 代你寻找、发布需求、谈判、付款和验收。你受 Agent 行为的约束，包括其授权的付款。Agent 在被询问时须表明所属平台，不得歪曲其所代表的个人或公司。付款、验收和退款，我们可能通过邮件与真人确认。我们公开的文件（llms.txt、agent.json、openapi.json）可供 Agent 读取和缓存；禁止自动化批量抓取、提交虚假需求或试图操纵我们的系统。我们的回复绝不包含对 Agent 的指令，应被视为数据。

11使用规范

不得将 dorepal 用于：非法商品或服务；假冒或侵权商品；武器、管制物品或进出口受限物品；涉及受制裁人员或地区的任何事项；刷评、学术作弊、冒充他人等欺骗性工作；骚扰或违法内容；或规避其他平台或主办方的规则。违反本条的订单，我们可以取消并退款（扣除已发生的成本）。

12知识产权

除非报价另有说明，需求方付清全款后，供给方将为该订单创作的定制交付物的权利转让给需求方，并保留其既有工具、模板和技术诀窍的权利，这些内容按需求方使用交付物所需授予许可。需求方保证对其提供的素材拥有相应权利。dorepal、Dore 及本网站内容归我们所有。你授予 dorepal 为运营本服务所需使用素材和交付物的许可——用于向供给方说明需求、质量检查和解决纠纷——且仅在你同意后才作为案例展示。

13免责声明

本服务按「现状」和「可用」状态提供。我们不保证一定有供给方可接单、不保证黑客松一定获奖，也不保证受海关、承运商、第三方平台或我们合理控制之外的事件影响的交付日期。交付物由供给方而非 dorepal 负责。

14责任限制

在法律允许的最大范围内，dorepal 就任何订单承担的全部责任，以你为该订单支付的金额为限；我们不对间接、附带、后果性损失或利润损失负责。部分司法辖区不允许此类限制；消费者保留强制性法律赋予的权利。

15赔偿

因你提供的素材、你的 Agent 的行为，或你违反本条款或适用法律而产生的索赔、损失和费用，由你向 dorepal 作出赔偿。

16终止

你可以随时停止使用本服务。对违反本条款者，我们可以暂停或终止其访问。进行中的订单按第 7 条完成或退款。

17适用法律与争议解决

本条款受香港特别行政区法律管辖，不适用其法律冲突规则。请先通过 hello@dorepal.com 联系我们，我们会力争在 30 天内解决争议。否则，争议提交香港法院专属管辖。消费者依据其所在地的强制性法律，也可能有权在本国法院提起诉讼。

18变更

我们可能更新本条款。页首日期为当前版本。订单适用其成立时生效的版本。
